LLCs
My friend Steve Bainbridge's post practically compels me to follow suit. Take a look at the draft of my recent short review of this topic, published as LLCs: Is the future here? A history and prognosis, Business Law Today, Nov./Dec. 2003 at 11. There I show that LLCs are gradually replacing general partnerships and corporations. More detailed, though older, data on LLCs and limited liability partnerships (LLPs) can be found in my article (with Bruce Kobayashi), Choice of Form and Network Externalities , 43 William & Mary Law Review 79 (2001) (draft here).
There are many issues regarding LLCs and other unincorporated firms that I'll be covering in other posts. (Among others, why are there still corporations?) Some of these issues will be discussed next month at the University of Illinois' Conference on "Uncorporation" in Chicago, April by an all-star cast, including the one and only Professor Bainbridge.
PS: For more useful LLC data, see Bill Hobbs Online .
Read with interest your discussion of series LLCs. Not sure why you refer to Bill Hobbs site. He seems to be another Christian fundamentalist who espouses war on innocents. What a shame your rich content was ruined by his crap.
