If you're going to read Professor Bainbridge's (which you should), by all means read Baker & Krawiec's paper. See if you don't agree with me that they implicitly explain veil-piercing as a way to force people to comply with formalities and thereby reveal information about firms.
I'll have more to say about the festivities. In the meantime, it's a national holiday -- Shakespeare's birthday, Cervantes' birthday and my birthday.
